Abstract

Discusses contractual indemnity provisions. The article analyzes the general rule as it exists in Texas, the application of the rule, the accepted exceptions to the general rule, and argues for an additional exception. The article then details indemnity provisions that have satisfied the rule or its exceptions, demonstrated through case law. The article analyzes other considerations to consider when drafting indemnity provisions and gives suggestions on how to draft provisions to satisfy the rule.
