Abstract

Discusses section 7.12 of the Texas Business Corporations Act and section 2.07 of the Texas Miscellaneous Corporation Laws Act. The article analyzes these two statutes in terms of their procedural nature and their interpretation as survival statutes and statutes of limitation. The article discusses the history of these statutes, the current interpretation through case law, the constitutionality of the statutes, and suggests possible remedies to problems that may arise.
