Abstract

Texas Courts have not discussed the problem of whether shareholders owe a fiduciary duty to the minority. This article thoroughly analyzes the California Supreme Court decision of Jones v. Ahmanson, which recognized such a duty, and stated reasons why Texas courts should impose such a duty on the controlling shareholders.
