Abstract

Evaluates the Fifth Circuit opinions concerning federal and state securities law. The cases dealt with the question of what is a security, what a well-pled claim looks like, and how to pierce the corporate veil. The author concludes that perhaps the Fifth Circuit’s focus upon developing better predictive rules for securities has perhaps helped reduce the number of mundane cases appealed to the court providing greater opportunity to work on cases of greater significance.
