Item Securities(Texas Tech Law Review, 1989) Stinemetz, S. DouglasDuring the survey period, the Fifth Circuit decided ten significant cases treating federal and state securities law issues. This year's securities law cases focused largely upon the requirements for a well-pleaded claim under section 10(b) of the Securities and Exchange Act of 1934 and rule l0b-5 (a "10b-5 claim"). Other cases considered, among other questions, whether an allegation that a promissory note is a security is so unreasonable as to call for sanctions, and what is the proper standard for disclosure under the federal securities laws.
